Contributor License Agreement (CLA)

Individual Contributor License Agreement

Thank you for your interest in contributing to WP Code Check ("the Project") by Hypercart, a DBA of Neochrome, Inc. ("Hypercart", "we", "us", or "our").

This Contributor License Agreement ("Agreement") documents the rights granted by contributors to Hypercart. This Agreement is for your protection as a Contributor as well as the protection of Hypercart and the users of the Project. It does not change your rights to use your own Contributions for any other purpose.

By submitting a Contribution to the Project, you accept and agree to the following terms and conditions for your present and future Contributions. Except for the licenses granted herein to Hypercart and recipients of software distributed by Hypercart, you reserve all right, title, and interest in and to your Contributions.

1. Definitions

"You" (or "Your") means the copyright owner or legal entity authorized by the copyright owner that is making this Agreement with Hypercart.

"Contribution" means any original work of authorship, including any modifications or additions to an existing work, that is intentionally submitted by You to Hypercart for inclusion in, or documentation of, the Project. This includes any material posted or submitted to the Project's repositories, issue trackers, forums, or any other communication channels.

"Submit" means any form of electronic, verbal, or written communication sent to Hypercart or its representatives, including but not limited to communication on electronic mailing lists, source code control systems, and issue tracking systems.

2. Grant of Copyright License

Subject to the terms and conditions of this Agreement, You hereby grant to Hypercart and to recipients of software distributed by Hypercart a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to:

  • Reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions and such derivative works
  • Distribute Your Contributions under multiple licenses, including but not limited to:
    • The Apache License 2.0 (open source)
    • Commercial licenses offered by Hypercart
    • Any other license that Hypercart deems appropriate for the Project

This grant explicitly allows Hypercart to include Your Contributions in both the open source version (Apache 2.0) and commercial versions of the Project.

3. Grant of Patent License

Subject to the terms and conditions of this Agreement, You hereby grant to Hypercart and to recipients of software distributed by Hypercart a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable (except as stated in this section) patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer Your Contributions, where such license applies only to those patent claims licensable by You that are necessarily infringed by Your Contribution(s) alone or by combination of Your Contribution(s) with the Project to which such Contribution(s) was submitted.

If any entity institutes patent litigation against You or any other entity (including a cross-claim or counterclaim in a lawsuit) alleging that Your Contribution, or the Project to which You have contributed, constitutes direct or contributory patent infringement, then any patent licenses granted to that entity under this Agreement for that Contribution or Project shall terminate as of the date such litigation is filed.

4. Your Representations

You represent that:

  1. You are legally entitled to grant the above licenses. If your employer(s) has rights to intellectual property that you create that includes your Contributions, you represent that you have received permission to make Contributions on behalf of that employer, that your employer has waived such rights for your Contributions to Hypercart, or that your employer has executed a separate Corporate CLA with Hypercart.

  2. Each of Your Contributions is Your original creation. You represent that Your Contribution submissions include complete details of any third-party license or other restriction (including, but not limited to, related patents and trademarks) of which you are personally aware and which are associated with any part of Your Contributions.

  3. You provide Your Contributions "AS IS", WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied, including, without limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE.

5. Notification of Changes

You agree to notify Hypercart of any facts or circumstances of which you become aware that would make these representations inaccurate in any respect.

6. Dual Licensing Acknowledgment

You acknowledge and agree that:

  1. The Project is dual-licensed under the Apache License 2.0 (open source) and commercial licenses offered by Hypercart
  2. Your Contributions may be distributed under both licensing models
  3. Hypercart may offer commercial licenses that include Your Contributions without additional compensation to You
  4. The open source version (Apache 2.0) will always remain available to the community
  5. You retain the right to use Your Contributions for any purpose outside of the Project

7. How to Submit This Agreement

For Individual Contributors

To accept this CLA, please:

  1. Read this entire agreement carefully
  2. Add your information below (or in a separate signed document)
  3. Submit via one of these methods:
    • GitHub: Comment on your first pull request with: "I have read and agree to the CLA"
    • Email: Send signed copy to cla@hypercart.com
    • DocuSign: Request electronic signature link from cla@hypercart.com

8. Corporate Contributions

If you are contributing on behalf of a corporation, your employer must execute a separate Corporate Contributor License Agreement (CCLA). Please contact cla@hypercart.com for the CCLA template.

This CLA is based on the Apache Software Foundation's Individual Contributor License Agreement and is designed to be fully compatible with the Apache License 2.0 while supporting Hypercart's dual-license model.
