You agree to promptly notify E2B in writing of any facts or circumstances of which You become aware that would make any of the representations in this Agreement inaccurate in any material respect, including but not limited to any change in Your employment status or any assertion of rights by a third party over Your Contributions.

+9. Entire Agreement; Governing Law. This Agreement constitutes the entire agreement between You and E2B concerning the subject matter hereof and supersedes all conflicting terms of any prior or contemporaneous agreements, representations, or understandings. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in Delaware, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

E2B may assign this Agreement, and any rights and obligations hereunder, without Your consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of E2B’s assets, equity or business.
