End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you, either an individual or a legal entity ("you"), and Hackerman, Inc. ("Hackerman", "we", "us", or "our") for the Hackerman Text software application, including any updates, documentation, license files, and related materials (collectively, the "Software").

The Software is licensed, not sold. By installing, copying, accessing, or using the Software, you agree to be bound by this Agreement.


1. License Grant

Subject to your compliance with this Agreement, Hackerman grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software as set out below.

1.1 Non-Commercial Use

You may use the Software without payment for personal, educational, evaluation, hobby, research, and other non-commercial purposes.

1.2 Commercial Use

A paid license is required for any commercial use of the Software.

For purposes of this Agreement, commercial use includes use:

* by or for a business, organization, government entity, or other institution;
* in connection with paid work, client work, contracting, consulting, freelance work, or agency work;
* for internal business operations;
* in connection with building, maintaining, supporting, or delivering products or services;
* in any revenue-generating, professional, or production environment.

If you are using the Software as part of your work, for client work, or within an organization, that is commercial use.

1.3 Personal License

A Personal License is granted to one named user. That user may use the Software on multiple computers and supported operating systems, provided that the licensed user is the person using the Software on those devices.

A Personal License is for one person, not one machine.

A Personal License may be used for commercial use by that one licensed user, subject to this Agreement.

1.4 Team and Business Licenses

A team, multi-user, or business license must cover at least the number of individuals using the Software commercially.

Each licensed user may use the Software on multiple devices, but a single seat may not be shared among multiple users unless your license terms expressly allow that.

1.5 License Credentials

Any license key, license file, activation file, or other credential provided by Hackerman may only be used within the scope of the applicable license and may not be shared outside that scope.


2. Backups and Copies

You may make reasonable copies of the Software and your license credentials solely for backup and archival purposes, provided all copyright and proprietary notices are retained.


3. Restrictions

You may not, and may not permit others to:

* remove, alter, or obscure any copyright, trademark, or proprietary notices in the Software;
* distribute, publish, sublicense, rent, lease, lend, sell, assign, or transfer the Software or any license credentials to any third party, except as expressly permitted by Hackerman in writing;
* use the Software commercially without the required paid license;
* use a non-commercial entitlement for commercial purposes;
* share a single-user license across multiple users;
* circumvent, disable, or interfere with licensing, activation, verification, or other technical protection mechanisms in the Software;
* use the Software in violation of applicable law.


4. Redistribution

Unless Hackerman gives prior written permission, you may not redistribute the Software, any installer, any bundled components, or any license key or license file.


5. Ownership

The Software is licensed, not sold. Hackerman and its licensors retain all right, title, and interest in and to the Software, including all copyrights, trademarks, trade secrets, and other intellectual property rights.

This Agreement grants you only the limited rights expressly stated above.


6. Updates and Support

Hackerman may provide updates, upgrades, patches, or support at its discretion or as included in a purchased plan. Unless separate terms apply, all updates provided to you are governed by this Agreement.

Hackerman may change, suspend, or discontinue features, online services, or update availability at any time, subject to applicable law.


7. Compliance

For commercial use, you are responsible for ensuring that your license coverage matches the number of users using the Software.

You agree to maintain reasonable records sufficient to confirm compliance with the licensed scope if requested by Hackerman on reasonable notice.

Hackerman aims to rely primarily on straightforward, good-faith compliance rather than intrusive enforcement.


8. Term and Termination

This Agreement remains in effect until terminated.

This Agreement automatically terminates if you fail to comply with its terms. Hackerman may suspend or terminate license rights if a license key or license file is used outside the purchased scope, redistributed, obtained fraudulently, or used in material breach of this Agreement.

Upon termination, you must cease using the Software under the terminated license and delete or destroy the related license credentials.

Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and governing law.


9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, OR THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

YOU ASSUME ALL RISK ARISING OUT OF THE USE OR PERFORMANCE OF THE SOFTWARE.


10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HACKERMAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HACKERMAN'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) FIFTY U.S. DOLLARS (US$50).


11. Export and Sanctions Compliance

You agree not to use, export, re-export, or transfer the Software in violation of applicable export control or sanctions laws.


12. Governing Law

This Agreement is governed by the laws of the State of Delaware, excluding its conflict of law principles.

You agree that any dispute arising out of or relating to this Agreement or the Software shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of those courts.


13. Entire Agreement

This Agreement constitutes the entire agreement between you and Hackerman regarding the Software and supersedes prior or contemporaneous understandings on that subject, except for any separate written commercial agreement or order form that expressly governs your license.
