| 5 | +These Affiliate Program Terms ("Terms") govern participation in the LogChimp Affiliate Program ("Program") operated by Shinkly Private Limited (“Shinkly”, “we”, “us”, or “our”). |

| 7 | +By applying for, enrolling in, or participating in the Program, you ("Affiliate", "you", or "your") agree to these Terms. |

| 9 | +## 1. Purpose of the Program |

| 11 | +The Program allows approved Affiliates to refer prospective customers to LogChimp and earn commissions on qualifying purchases made by eligible referred customers. |
| 12 | + |
| 13 | +Participation in the Program does not create any employment, agency, partnership, joint venture, or franchise relationship between you and LogChimp. |
| 14 | + |
| 15 | +## 2. Enrollment and Approval |
| 16 | + |
| 17 | +Participation is subject to approval by Shinkly. |
| 18 | + |
| 19 | +We may approve, reject, suspend, or terminate any application or Affiliate account at our sole discretion. |
| 20 | + |
| 21 | +You must provide accurate, complete, and current information when applying and while participating in the Program. |
| 22 | + |
| 23 | +## 3. Referral Attribution |
| 24 | + |
| 25 | +Shinkly operates a direct-sales attribution model. |
| 26 | + |
| 27 | +A customer will be considered a Referred Customer only if Shinkly records that customer as having been referred by the Affiliate through methods approved by Shinkly. |
| 28 | + |
| 29 | +Shinkly's records and attribution systems shall be final and controlling in determining: |
| 30 | + |
| 31 | +- Whether a referral occurred; |
| 32 | +- Which Affiliate, if any, is entitled to attribution; |
| 33 | +- Whether a sale qualifies for commission; |
| 34 | +- The amount of commission payable. |
| 35 | + |
| 36 | +In the event of competing attribution claims, Shinkly shall determine attribution in good faith based on its records and program rules. |
| 37 | + |
| 38 | +## 4. Qualified Sales |
| 39 | + |
| 40 | +A "Qualified Sale" means a purchase of an eligible Shinkly subscription plan by a Referred Customer that: |
| 41 | + |
| 42 | +1. Has been successfully paid for; |
| 43 | +2. Has not been refunded, reversed, disputed, or charged back; |
| 44 | +3. Complies with these Terms; |
| 45 | +4. Is not excluded under Section 5. |
| 46 | + |
| 47 | +Commissions become earned only after a Qualified Sale has satisfied any applicable verification or holding period established by Shinkly. |
| 48 | + |
| 49 | +## 5. Non-Qualifying Transactions |
| 50 | + |
| 51 | +The following transactions do not qualify for commissions: |
| 52 | + |
| 53 | +- Self-referrals; |
| 54 | +- Purchases made by the Affiliate; |
| 55 | +- Purchases made by entities controlled by the Affiliate; |
| 56 | +- Fraudulent transactions; |
| 57 | +- Test accounts; |
| 58 | +- Free plans; |
| 59 | +- Internal company purchases; |
| 60 | +- Refunded transactions; |
| 61 | +- Chargebacks; |
| 62 | +- Payment disputes; |
| 63 | +- Transactions obtained through prohibited marketing methods; |
| 64 | +- Transactions otherwise determined by Shinkly to violate these Terms. |
| 65 | + |
| 66 | +Shinkly may reverse previously credited commissions if a transaction later becomes ineligible. |
| 67 | + |
| 68 | +## 6. Commission Structure |
| 69 | + |
| 70 | +The commission percentage, duration, payout schedule, minimum payout threshold, and any additional requirements are published on the Program page or otherwise communicated by Shinkly. |
| 71 | + |
| 72 | +Unless expressly stated otherwise: |
| 73 | + |
| 74 | +1. Commission is calculated on net subscription revenue actually received by Shinkly; |
| 75 | +2. Taxes, payment processing fees, refunds, credits, and chargebacks are excluded from commission calculations. |
| 76 | + |
| 77 | +Shinkly may modify commission rates or Program benefits prospectively by providing notice through the Program dashboard, website, or email. |
| 78 | + |
| 79 | +Changes will not affect commissions already earned before the effective date of the change. |
| 80 | + |
| 81 | +## 7. Enterprise and Custom Agreements |
| 82 | + |
| 83 | +Shinkly may exclude, limit, or separately negotiate commissions for: |
| 84 | + |
| 85 | +- Enterprise customers; |
| 86 | +- Custom-priced contracts; |
| 87 | +- Multi-year agreements; |
| 88 | +- Strategic partnerships; |
| 89 | +- Reseller arrangements; |
| 90 | +- Government contracts. |
| 91 | + |
| 92 | +Eligibility for commissions on such transactions shall be determined solely by Shinkly. |
| 93 | + |
| 94 | +## 8. Payment of Commissions |
| 95 | + |
| 96 | +Commissions are paid only after: |
| 97 | + |
| 98 | +- The applicable holding period has elapsed; |
| 99 | +- The minimum payout threshold has been reached; |
| 100 | +- Required payment information has been provided. |
| 101 | + |
| 102 | +Payments may be made through methods designated by Shinkly. |
| 103 | + |
| 104 | +You are solely responsible for: |
| 105 | + |
| 106 | +- Taxes; |
| 107 | +- Reporting obligations; |
| 108 | +- Banking fees; |
| 109 | +- Currency conversion costs; |
| 110 | +- Regulatory compliance applicable to receipt of payments. |
| 111 | + |
| 112 | +## 9. Acceptable Promotional Activities |
| 113 | + |
| 114 | +Affiliates may promote LogChimp software using lawful and ethical methods. |
| 115 | + |
| 116 | +You may: |
| 117 | + |
| 118 | +1. Create educational content; |
| 119 | +2. Publish reviews; |
| 120 | +3. Produce tutorials; |
| 121 | +4. Share personal experiences; |
| 122 | +5. Recommend LogChimp to potential customers. |
| 123 | +6. Feature personal workflows, comparison videos, memes, or newsletter blurbs. |
| 124 | + |
| 125 | +Affiliates should disclose their relationship (#ad, “I earn a commission,” etc.). |
| 126 | + |
| 127 | +All statements regarding LogChimp software must be truthful, accurate, and not misleading. |
| 128 | + |
| 129 | +## 10. Prohibited Activities |
| 130 | + |
| 131 | +You shall not: |
| 132 | + |
| 133 | +- Make false or misleading claims; |
| 134 | +- Impersonate Shinkly; |
| 135 | +- Represent yourself as an employee or agent of Shinkly; |
| 136 | +- Engage in spam or unsolicited bulk messaging; |
| 137 | +- Use deceptive advertising practices; |
| 138 | +- Use trademark infringement or domain squatting; |
| 139 | +- Create fake leads or customers; |
| 140 | +- Manipulate attribution systems; |
| 141 | +- Offer unauthorized rebates or incentives; |
| 142 | +- Engage in fraudulent, abusive, or unlawful conduct. |
| 143 | +- Don’t bid on “LogChimp” or misspellings in search ads. |
| 144 | + |
| 145 | +Violation of this section may result in immediate termination and forfeiture of unpaid commissions. |
| 146 | + |
| 147 | +## 11. Intellectual Property |
| 148 | + |
| 149 | +Subject to these Terms, Shinkly grants Affiliates a limited, non-exclusive, non-transferable, revocable license to use approved LogChimp trademarks, logos, and promotional materials solely for participation in the Program. |

| 151 | +All rights not expressly granted are reserved by Shinkly. |
| 152 | + |
| 153 | +You shall not modify or misuse LogChimp branding without prior written approval. |
| 154 | + |
| 155 | +## 12. Compliance with Laws |

| 157 | +You are responsible for complying with all applicable laws and regulations, including advertising, consumer protection, privacy, anti-spam, and disclosure requirements. |

| 159 | +Where required by law, you must clearly disclose your affiliate relationship with Shinkly. |

| 161 | +## 13. Confidentiality |

| 163 | +Any non-public information relating to Shinkly, its products, customers, pricing, operations, roadmap, or business practices shall be treated as confidential. |

| 165 | +You may not disclose such information without prior written consent. |
| 166 | + |
| 167 | +## 14. Term and Termination |

| 169 | +Either party may terminate participation in the Program at any time. |
| 170 | + |
| 171 | +Shinkly may suspend or terminate an Affiliate account immediately for: |

| 173 | +- Violations of these Terms; |
| 174 | +- Fraudulent activity; |
| 175 | +- Abuse of the Program; |
| 176 | +- Conduct harmful to Shinkly or its customers. |
| 177 | + |
| 178 | +Upon termination: |
| 179 | + |
| 180 | +- Promotional rights immediately cease; |
| 181 | +- Outstanding commissions may be reviewed for eligibility; |
| 182 | +- Commissions associated with violations of these Terms may be forfeited. |
| 183 | + |
| 184 | +## 15. Disclaimer |
| 185 | + |
| 186 | +The Program, Shinkly services, and all related materials are provided on an "as is" and "as available" basis. |
| 187 | + |
| 188 | +Shinkly makes no guarantee regarding: |
| 189 | + |
| 190 | +- Earnings; |
| 191 | +- Customer conversions; |
| 192 | +- Revenue generated through the Program; |
| 193 | +- Continued availability of the Program. |
| 194 | + |
| 195 | +## 16. Limitation of Liability |
| 196 | + |
| 197 | +To the maximum extent permitted by law, Shinkly shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages. |
| 198 | + |
| 199 | +Shinkly's total aggregate liability arising from the Program shall not exceed the total commissions paid to the Affiliate during the six (6) months preceding the event giving rise to the claim. |
| 200 | + |
| 201 | +## 17. Changes to the Program |
| 202 | + |
| 203 | +Shinkly may modify, suspend, replace, or discontinue the Program or any Program feature at any time. |
| 204 | + |
| 205 | +Continued participation after such modifications constitutes acceptance of the updated Terms. |
| 206 | + |
| 207 | +## 18. Governing Law |
| 208 | + |
| 209 | +These Terms shall be governed by and construed in accordance with the laws of India. |
| 210 | + |
| 211 | +Any dispute arising from or relating to the Program shall be subject to the exclusive jurisdiction of the courts located in Punjab, India. |
